Civil law usury

Civil law usury Abstract While discussing the issue of civil law usury, this thesis has three main goals in principle. The first one is exploring and describing usury from non-legal standpoints, the second one involves assessing usury from legal standpoints and the final one comprises comparing the Czech regulation of usury with foreign approaches, presenting proposals aiming to enhance the definition of usury and evaluating the quality of its definition. The thesis is thus divided into three parts accordingly. The first part focuses on the origin of usury itself, while particularly exploring key historical periods and philosophical approaches. It also mentions the influence of religion, which used to influence the everyday life of individuals and usury was no exception. This part is complemented with a brief look at the usury regime in the three previous civil codes from the past century, which predate the current regime with their effect. The formulation of the theoretical part then follows, it comprises an interpretation of the current usury regime contained in the present Civil Code. - The Principle of Fair Business Transactions The submitted thesis called The Principle of Fair Business Transactions deals with assessment of impacts of private law's recodification on this principle and the issue of its application. The thesis consists of two main parts - theoretical and analytical. The theoretical part is divided into general and specific. The general theoretical part focuses on the specification of the business principle and its emplacement among other similar private law's principles such as principle of good faith and fair dealing and good manners. The aim of this part was to define divergences of each of the principles and the aftermaths of breaking these principles. It is impossible to go through the topic of the principle of fair business transactions globally, especially due to the extensiveness and variety of usage of the principle in business law relationships. Therefore, special attention has been paid to the principle of fair business transactions in the field of contractual penalty in the next theoretical part. In the analytical part, I endeavour to deal with the issue of the exercising of the right of a contractual penalty. Mandatory rules in the Civil Code Abstract The aim of this diploma thesis entitled "Mandatory rules in the Civil Code" is to analyse the mandatory rules in Act No. 89/2012 Coll., the Civil Code (hereinafter "CC"), in terms of their theoretical definition, the way of their identification and occurrence. The work is therefore systematically divided into three parts. The first part deals with the conceptual and contentual definition of the mandatory rules and defines the differences between the mandatory and non-mandatory rules. Various types of mandatory rules are also discussed, with particular emphasis being placed on analysing the category of so-called relatively mandatory rules. In this part, the author profoundly deals with a division of rules into mandatory and non-mandatory. Moreover, the author discusses the pivotal principle of private law - the principle of autonomy of will. On one hand, this principle mirrors the non-mandatory rules of the Civil Code. On the other hand, it is pointed out to the necessity of limiting the autonomy of the will through the mandatory rules. Invalidity, nullity and ineffectiveness of a resolution of general meeting and other bodies of a limited company Abstract This Master's thesis deals with the issue of invalidity of the resolutions of the general meeting of capital companies in the applicable private law of the Czech Republic. The introduction of this Master's thesis covers the historical development of legislation concerning the general regulation of the limited liability company and the joint stock company with a certain focus on good morals and the invalidity of the resolutions of the general meeting of the capital companies in the territory of the Czechoslovak Republic and its successor state departments. Chapter on the legal nature of the resolutions of the general meeting follows on from this historical definition. Similarly as in the case of historical development, legal nature of the resolutions of general meeting is first addressed in historical context, more specifically before the year 2014. Usurious contracts within the context of civil law

Central point of the thesis at hand is the effort to clarify legal consequences arising out of the conclusion of the usurious contract. Its primary aim is to determine whether the usurious contract is voidable or rather null and void and whether it is possible to uphold the usurious contract either by applying the concept of partial invalidity or by judicial balancing of the grossly disproportionate considerations arising out of the usurious contract. This thesis is structured into two parts. The first chapter of the first part briefly introduces paradigms of the rules related to the usury. The second chapter analyzes individual characteristics of the usury. In the third chapter author argues for the possibility to review the contracts (showing the disproportion of considerations, defects of the abused's will and the element of abuse, however, not fulfilling all the characteristics of the usurious contracts due to narrow definition of the usury) by the good-manners-test. Selected Problems of Maintenance with Particular Focus on Good Morals

The diploma thesis, Selected Problems of Maintenance with Particular Focus on Good Morals, deals with legal matters of maintenance mainly in connection to the aspect of good morals (boni mores) which represents the principal of equity and is the moral extension of legal provisions under the law of the Czech Republic. The purpose of the thesis is to identify the most frequent issues that are being dealt with and describe their legal solution in accordance with the legislation valid and effective till the end of 2013 and under the new legislation after the recodification of the Czech civil law, effective from the 1st of January 2014. The doctrine of boni mores and legal provisions regarding maintenance have both met some changes in terms of interpretation and application since the recodification. Maintenance and good morals are researched together, they are researched one in connection to the other one, in this diploma thesis because the previous legislation established a special linkage between them which resulted in a considerable amount of case law that needs to be revisited. Good morals and public order as the limits of the autonomy of will in civil law

1 Abstract This thesis deals with the principles of good morals and public order focusing on their role function as limits restricting the autonomy of the will. Although both principles are vague legal concepts, this thesis doesn't seek to define exactly not even cover all the practical possibilities of their application. The aim of the thesis was to bring the possible content of these principles and to highlight their importance in assessing the validity of legal actions or to specify further consequences of legal conduct, which would be contrary to these principles. The view on this topic is primarily from the Czech law perspective. On exemplary and a limited number of legal institutes, this thesis tries to capture the possibilities of using good manners and public order as correctives of autonomy of will. The thesis is divided into eight chapters. The theme of the first chapter is the principle of autonomy of the will and its position in the Czech legal order. This master's thesis deals with Codes od Ethics and their role in relations among entrepreneurs. The aim is to provide a more comprehensive overview of business ethics and its application and use of code of ethics in practice. The theoretical part focuses on the definition of key terms, provides insight into the history of ethics and highlights the linkage between ethical and legal regulation. The thesis further describes the tools and methods of business ethics, another chapter is then devoted to ethical codes.
